Introduction
Welcome to Neweb (hereinafter referred to as "Neweb," "the Company," or "we"), specialized in providing digital services in the Kingdom of Saudi Arabia.
These Terms and Conditions (referred to as the "Agreement" or "Terms") constitute a legally binding agreement between you, as a user or customer (referred to as "Customer," "User," or "you"), and Neweb, regarding your use of our website www.ne-wb.com, our applications, and our digital services (collectively referred to as the "Platform").
Your use of the Platform or your request for any of our services constitutes your express and binding acceptance of these Terms. If you do not agree to any of these Terms, you must immediately cease using the Platform.
This Agreement is subject to the laws in force in the Kingdom of Saudi Arabia, particularly: the E-Commerce Law and its Implementing Regulations, the Anti-Cyber Crime Law, the Personal Data Protection Law, the Copyright Law, and the Civil Transactions Law.
First: Definitions
Platform: The website www.ne-wb.com, mobile applications, and systems affiliated with Neweb.
Digital Services: All services provided by Neweb through the Platform, including — but not limited to — website design and development, mobile application development, digital marketing services, social media platform management, search engine optimization (SEO) services, hosting, domain registration, graphic design, and any other advertised services.
Account: The electronic account created by the User on the Platform to benefit from the services.
Content: All texts, images, designs, videos, programming codes, trademarks, and logos published or displayed on the Platform.
Third Party: Any person or entity other than the parties to this Agreement.
Business Day: Any day of the week except Friday, Saturday, and official holidays in the Kingdom of Saudi Arabia.
Second: Legal Eligibility to Use the Platform
To use the Platform, the User must be:
A natural person of legal majority (18 years), with full legal capacity recognized by Sharia and law.
Or a legal person acting through a duly authorized representative.
The User acknowledges that all data they provide is accurate, complete, and up-to-date, and bears sole responsibility for the accuracy of this data.
Neweb reserves the right to refuse any registration request or cancel any account that violates this condition.
Third: Registration and Account
Account Creation: The User undertakes to provide accurate and complete information upon registration and to update it whenever necessary.
Confidentiality of Login Credentials: The User bears sole responsibility for maintaining the confidentiality of their username and password and is considered responsible for all activities that occur through their account.
Reporting Breaches: The User undertakes to immediately notify Neweb in the event of any suspected unauthorized use of their account or any breach.
Single Account: The User is not permitted to create more than one account on the Platform without prior permission from Neweb.
Account Suspension or Termination: Neweb reserves the right to suspend or terminate any account that violates these Terms, is used for unlawful purposes, or harms the Platform or its users.
Fourth: Digital Services
Scope of Services: Neweb provides services in accordance with the specifications announced on the Platform or agreed upon in writing with the Customer.
Pricing: Prices displayed on the Platform represent the value of the service in Saudi Riyals, including Value Added Tax, unless otherwise stated.
Technical Obligations: Neweb undertakes to exercise the necessary professional care to provide the service at the highest possible quality, in accordance with the technical standards recognized in the industry.
Execution Period: The execution period for each service is determined in the service contract or the price quotation approved between the parties. Neweb shall not be liable for any delay resulting from the Customer's delay in providing us with the necessary information or materials.
Modifications: The Customer has the right to request modifications to the service in accordance with what is specified in the service contract. Additional modifications outside the scope of the agreement are subject to separate pricing.
Acceptance and Delivery: The Customer is deemed to have accepted the delivered service if no observations are made within (7) days from the date of delivery.
Fifth: Customer Obligations
The Customer undertakes to:
Provide Neweb with all information and materials necessary for executing the service in a timely manner.
Ensure their ownership of, or that they have obtained the necessary licenses for, the materials they provide to us (texts, images, logos, content).
Adhere to paying the financial consideration on the agreed dates.
Not use the services for any unlawful purposes or in violation of the regulations in force in the Kingdom.
Refrain from any conduct that would harm the reputation of Neweb, its Platform, or its employees.
Cooperate with the work team and provide feedback at the agreed times.
Sixth: Financial Obligations and Payment
Payment Methods: The Site accepts payment via credit cards, Mada, bank transfer, and approved electronic payment wallets (Apple Pay, STC Pay, and others).
Down Payment: Neweb may require a down payment before commencing service execution. Its percentage is determined according to the nature and size of the service.
Electronic Invoices: Neweb issues electronic invoices conforming to the requirements of the Zakat, Tax and Customs Authority.
Late Payment: Neweb has the right to suspend service execution if the Customer is late in paying financial dues on time.
Taxes and Fees: Value Added Tax and any other statutory fees shall be added to the value of the service in accordance with applicable regulations.
Seventh: Intellectual Property
Neweb's Rights: All intellectual property rights of the Platform, including designs, programming codes, logos, trademarks, and content, are reserved exclusively for Neweb. They may not be copied, reused, or distributed without prior written permission.
Service Outputs: Ownership of the final outputs of the service transfers to the Customer after they have paid all financial dues in full, unless otherwise agreed in the service contract.
Tools and Underlying Systems: The tools, systems, programming libraries, and ready-made templates used by Neweb in executing the service remain the exclusive property of the Company, and their ownership does not transfer to the Customer.
Third-Party Rights: The Customer undertakes to ensure that the materials they provide do not infringe any third-party intellectual property rights, and bears sole responsibility for any claims that may arise in this regard.
Right to Display in Portfolio: Neweb has the right to display completed works in its portfolio for marketing purposes, unless the Customer requests otherwise in writing.
Eighth: Confidentiality and Data Protection
Confidentiality Obligation: Neweb undertakes to maintain the confidentiality of information and data provided by the Customer, and does not disclose it to any third party except with the Customer's consent or based on a legal request.
Data Protection: The processing of personal data is subject to the Privacy Policy published on the Platform, which complies with the Personal Data Protection Law issued in the Kingdom of Saudi Arabia.
Security Measures: Neweb takes appropriate technical and organizational measures to protect the Customer's data from unauthorized access or breach.
Ninth: Returns and Refunds
All return and refund requests are subject to the Return and Exchange Policy published on the Platform, which is considered an integral part of these Terms.
Tenth: Prohibited Uses
The User is prohibited from doing any of the following:
Using the Platform for any unlawful purposes or in violation of the regulations in force in the Kingdom of Saudi Arabia.
Hacking the Platform or attempting unauthorized access to any part of it or its systems.
Publishing or sending offensive content, content contrary to public morals, or content conflicting with Islamic values.
Impersonating others or providing misleading information.
Using automated programs (Bots) or tools to extract data from the Platform without permission.
Spreading viruses or malicious software through the Platform.
Circumventing security or verification procedures.
Misusing the services or customer service employees.
Using the Platform for unlawful competition purposes or any activity that infringes on others' intellectual property rights.
Violation of any of these provisions constitutes grounds for suspending or terminating the account, while reserving the right to legal prosecution under the Anti-Cyber Crime Law and other relevant regulations.
Eleventh: Liability and Disclaimer
Limitations of Liability: Neweb makes its utmost effort to ensure the Platform operates efficiently. However, it does not guarantee that it will be completely free of errors or interruptions.
No Warranty: The Platform is provided "as is" without any express or implied warranties relating to fitness for a particular purpose, except as stipulated by mandatory regulations.
Indirect Damages: Neweb shall not bear any liability for indirect or consequential damages, including loss of profits, data, or business opportunities.
Liability Cap: Neweb's liability shall — in all cases — be limited to the actual amount paid by the Customer for the service in dispute.
Third-Party Links: The Platform may contain links to external sites that are not under our control. Neweb shall not bear any liability for their content or practices.
Twelfth: Indemnification
The User undertakes to indemnify Neweb, its employees, and representatives for any losses, damages, claims, or expenses (including attorneys' fees) that may arise as a result of:
Their violation of these Terms.
Their infringement of others' rights.
Their unlawful use of the Platform or services.
Their submission of incorrect information or materials in violation of regulations.
Thirteenth: Force Majeure
Neweb shall not bear any liability for breach of its obligations or delay in their execution due to force majeure, such as natural disasters, wars, political unrest, epidemics, internet outages, cyberattacks, government decisions, and any circumstances beyond its control. In such cases, the Customer will be contacted to find appropriate solutions.
Fourteenth: Termination of the Agreement
Termination by Agreement: Either party has the right to terminate the Agreement by mutual consent in accordance with what is agreed upon.
Termination by Neweb: Neweb has the right to terminate the Agreement or suspend services in the event of:
The Customer's violation of these Terms.
The Customer's delay in payment.
Use of the Platform for unlawful purposes.
Effects of Termination: Upon termination of the Agreement, the Customer undertakes to pay all dues up to the date of termination. The provisions of confidentiality, intellectual property, and dispute resolution shall remain in force.
Fifteenth: Amendment of the Terms and Conditions
Neweb reserves the right to amend these Terms from time to time in accordance with legislative or operational changes.
The updated version will be published on the Platform, and the amendment shall take effect from the date of publication.
The Customer's continued use of the Platform after the publication of amendments constitutes their acceptance of them.
Previous requests submitted prior to the amendment are subject to the provisions in force at the time of submission.
Sixteenth: Notices and Correspondence
All notices and correspondence between the parties are considered legally valid when made via:
Email registered with the parties.
Notifications within the Platform.
The Company's official WhatsApp.
The User undertakes to update their contact information on the Platform and bears sole responsibility for any notice that arrives at the data registered with them.
Seventeenth: Severability
If any provision of these Terms is ruled invalid or unenforceable by a competent judicial authority, this shall not affect the enforceability of the remaining provisions, which shall remain in force.
Eighteenth: Waiver of Rights
Neweb's failure to exercise any of its rights set forth in these Terms shall not constitute a waiver of those rights, and it has the right to exercise them at any time.
Nineteenth: Applicable Law and Dispute Resolution
Applicable Law: These Terms are subject to and shall be interpreted in accordance with the laws of the Kingdom of Saudi Arabia.
Amicable Dispute Resolution: The parties shall seek to settle any dispute arising from this Agreement amicably within (30) days from the date the dispute arises.
Competent Judicial Authority: If amicable settlement is not possible, the judicial authorities in the Kingdom of Saudi Arabia shall have jurisdiction to consider the dispute.
Commercial Complaints: The Customer has the right to file a complaint with the Ministry of Commerce through the "Commercial Complaint" platform or the unified number (1900).
Twentieth: Entire Agreement
These Terms — together with the Privacy Policy, Return Policy, and any separate service contract — represent the entire agreement between the parties and supersede any prior agreements or understandings, whether oral or written.
